Terms of Service

These Terms of Service ("Terms") govern your use of Auric OS, a venue directory and creator-tools platform at app.auricmovement.com (the "Platform"), operated by Auric Movement LLC. By using the Platform, you agree to these Terms. If you don't agree, please don't use the Platform.

1. Who Can Use the Platform

The Platform is intended for use by adults (18+) who are wellness creators, venue operators, or community members interested in NYC's wellness scene. You agree to provide accurate information when joining and to keep it accurate.

2. What the Platform Is — and Isn't

The Platform is an information directory and set of creator tools. We provide curated venue listings, an AI guide (Auric Concierge), email templates, and a budget calculator. We are not a booking marketplace, a payment processor for venue rentals, or a broker between creators and venues. We do not take a commission on venue bookings — you contract directly with the venue.

3. Venue Listings

Venues listed on the Platform are sourced from publicly available information, venue websites, and community submissions. We make reasonable efforts to keep this information accurate, but we cannot guarantee that rates, availability, capacity, certification requirements, or accessibility details are current. Always verify directly with the venue before booking. We are not responsible for any discrepancies between Platform information and actual venue terms.

4. Auric Concierge (AI Assistant)

Auric Concierge is an AI-powered guide provided as a convenience. AI responses may be incomplete, inaccurate, or out of date. Do not rely on Concierge responses as legal, medical, financial, or professional advice. Always verify permit requirements directly with NYC Parks, DOHMH, or other relevant agencies. Always verify certification details directly with the certifying body. The Concierge is operated via a third-party AI provider (Anthropic); see our Privacy Policy for how conversation data is handled.

5. Account, Magic-Link Sign-In & Cross-Device Sync

The Platform is free and open to use without an account. Most features — browsing venues, reading reviews, using the Concierge, saving venues on a single device — work without signing in.

Optional sign-in: You can sign in with your email address to sync your saved venues across devices. We do not use passwords. Instead, when you enter your email on the sign-in page, we send a one-time "magic link" to your inbox; clicking it from any device signs you in. The link expires after a short window and can only be used once.

By signing in, you confirm that the email address belongs to you and that you are at least 13 years old. You agree not to use someone else's email, share your magic links, or attempt to access another user's account.

What gets stored: When you are signed in, your list of saved venue names is stored in our database (hosted by Supabase, Inc.) and associated with your account so you can access it from other devices. Your email is stored only to authenticate you. No payment information is collected. See our Privacy Policy for full details.

No liability for sign-in, sync, or data loss. The sign-in and cross-device sync features are provided "as is" and at your own risk. To the maximum extent permitted by law, Auric Movement LLC is not liable for, and makes no warranty regarding:

• Magic-link delivery. Emails may be delayed, filtered as spam, blocked by your provider, or never delivered. We do not guarantee inbox delivery.
• Account access. We are not liable if you lose access to the email account tied to your sign-in, or if your magic link is intercepted by someone with access to your inbox.
• Cross-device sync. Sync may fail, lag, conflict, or partially apply due to network issues, browser storage limits, third-party outages, or other causes outside our control. Bookmarks made on one device may not always appear on others.
• Data loss or deletion. Your saved venues may be lost, corrupted, or deleted as a result of (i) Supabase or other third-party service outages or data incidents, (ii) account termination or platform shutdown, (iii) bugs in our software, (iv) you signing out, clearing browser data, or losing access to your email, or (v) routine maintenance. We do not guarantee any specific level of durability or backup.
• Unauthorized access. If someone else gains access to your email account, they can sign in as you. We are not responsible for activity that occurs through a compromised email account.

If keeping a specific list of venues matters to you, save a copy outside the Platform (screenshot, notes app, spreadsheet). We strongly recommend not relying on the Platform as the sole record of any information that would cost you time or money to lose.

You can sign out at any time, which clears your local session but does not delete your stored saved-venue list. To delete your account and all associated data, email auricmovement@outlook.com from the address you signed up with, and we will remove your data within 30 days.

Free-tier usage limits (such as a cap on Concierge queries) may be added in the future. We will give reasonable notice before enforcing any limit that affects existing users.

6. Future Paid Features

The Platform is currently free to use. We may introduce paid features or subscription tiers in the future (for example, advanced creator tools or featured venue listings). When we do, the full terms — including pricing, billing cycle, cancellation, and refund policy — will be added to this document, and existing users will be notified at least 14 days before any paid feature launches or affects their account.

Nothing in this section commits Auric Movement LLC to launching paid features on any specific timeline or at any specific price.

7. User Content (Reviews, Profiles, Submissions)

As we add features that let you submit content (creator profiles, venue reviews, success stories, venue submissions), you retain ownership of what you submit, but you grant Auric Movement LLC a non-exclusive, royalty-free, worldwide license to display, distribute, and promote that content on the Platform and in related marketing.

You are responsible for the accuracy of your content. You agree not to submit:

• False, misleading, or defamatory statements about venues, creators, or third parties.
• Content that infringes any third party's intellectual property, privacy, or other rights.
• Spam, promotional content unrelated to NYC wellness, or content that violates applicable law.

We reserve the right to review, edit, or remove user-submitted content at our discretion, and to terminate accounts that violate these Terms.

8. Acceptable Use

You agree not to: (a) scrape, copy, or harvest venue data from the Platform for resale or republication; (b) use the Concierge for bulk content generation; (c) impersonate another creator or venue; (d) interfere with the Platform's normal operation; (e) attempt to bypass any usage limits we set.

9. Intellectual Property

The Platform's name, branding, software, design, original copy, and curated venue collection are owned by Auric Movement LLC. You may not copy, modify, or distribute these without our written permission. Venue names, addresses, and publicly available information are not owned by us; they belong to the venues themselves.

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available." We make no warranties — express or implied — about the accuracy, completeness, reliability, or fitness of any information on the Platform for any particular purpose. To the maximum extent permitted by law, we disclaim all warranties.

11. Limitation of Liability

To the maximum extent permitted by law, Auric Movement LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to: lost bookings, denied permits, venue cancellations, certification disputes, lost or corrupted saved-venue lists, failed or delayed magic-link emails, sync failures across devices, unauthorized account access through a compromised email, or any third-party action. Our total liability for any claim under these Terms is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

12. Indemnification

You agree to indemnify and hold Auric Movement LLC harmless from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the Platform, your violation of these Terms, or your infringement of any third party's rights.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in New York County, NY, and you consent to the personal jurisdiction of those courts.

14. Changes to These Terms

We may update these Terms as the Platform evolves. Material changes will be announced on the Platform homepage and via email to active users at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance.

15. Termination

You may stop using the Platform at any time. We may suspend or terminate your access if you violate these Terms. Sections related to user content licensing, disclaimers, limitation of liability, indemnification, and governing law survive any termination.
